Customer Agreement

This Customer Agreement ("Agreement") is a contract between you and Wholesale2B.com ("Wholesale2B") and applies to your purchase of Wholesale2B services available through Wholesale2B.com. If you do not agree to be bound by the terms and conditions of this Agreement, you will not be permitted to use our services.

You must read, agree with, and accept all of the terms and conditions contained in this Agreement before you may become a member of Wholesale2B.com.

In this Agreement, "you" or "your" means any person or entity using the Service ("Customers"). Unless otherwise stated, "Wholesale2B", "we" or "our" will refer collectively to Wholesale2B.com

Unless otherwise specified, all references to a "bank" in this Agreement include savings associations and credit unions, and all references to a "credit card" include American Express, Discover, Visa - and Master Card-branded debit cards.

Your status as a Customer. To become our customer, you must be a registered member with Wholesale2B.com in order to use our Services; you must first register on our web site. You will gain access to all information regarding all the suppliers and manufacturers that we work with. All the suppliers listed in our website have dropship services. You will have to agree to pay the fee per dropship plan at the time you signup for a plan.

You must also agree to each and every condition in this Agreement:

1. Eligibility. Our Services are only available to persons that can form legally binding contracts under applicable law. Without limiting the foregoing, our Service is not available to minors (under 18), persons who are suspended from our Service, or to persons who present an unacceptable level of credit risk.

2. Indemnification. The selection and choice of products to sell/resell solely lies with the Customer. You indemnify Wholesale2B and its employees from any responsibility if or when an issue arises while selling/reselling the product(s) from Wholesale2B.com.

3. Purchase Order/Login and password protection/Indemnification.

(a) Any purchase of our dropship subscriptions can be made only after you log in into your "User Account" using your user name and password. You are responsible for the use and protection of user name and password.

(b) You understand and agree that all risk associated with unauthorized use of your log in and password are solely yours and agree to hold Wholesale2B harmless and free of any claims, liabilities, demands for reimbursement, credit card charge-backs, or causes of action relating to such unauthorized use.

4. Legal Disputes. In the event any dispute arises between you and Wholesale2B in relation to this Agreement or any transaction relating thereto, all claims or actions, whether judicial, quasijudicial, or administrative must be made in the Kitsap County, State of Washington. You hereby expressly agree to submit to jurisdiction of the appropriate Kitsap County court. If further agree that any claim or action against Wholesale2B may be prosecuted solely and exclusively in the County of Kitsap, State of Washington.

5. Attorney Fees. In case of any collection activity, dispute, litigation, claim, or action arising in relation to this Agreement, the prevailing party shall be entitled to compensation of reasonable attorney fees and costs of enforcement.

6. General.

(a) This Agreement is governed by and interpreted under the laws of the state of Washington.

(b) If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
(c) Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section.
(d) Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches.
(e) This Agreement set forth the entire understanding between Customer and Wholesale2B with respect to the subject matter hereof.

7. Typographical Errors

In the event a product is listed at an incorrect price or with incorrect information due to typographical error or error in pricing or product information received from our suppliers, wholesale2b.com shall not be held responsible. Wholesale2B shall not be held responsible for typos or incorrect product data provided by the suppliers. Our mission is to accurately report the data provided by the suppliers without making any changes to their content. Wholesale2B is not responsible for scrubbing the data content provided by our integrated suppliers.

8. Content

Product images, descriptions, prices, and all related data provided by our export plan is referred to as "product content". The product content provided by wholesale2b should not to be distributed to any third party. The product content provided by wholesale2b should be used exclusively for one single website. Any distribution of our product content to third party websites will be in violation of our terms and conditions.

9. Payments of orders

Should you decide to fulfil your orders through your wholesale2b.com account and let wholesale2b handle orders with the suppliers for you, you will be required to provide a valid photo ID such as a driver license or a passport as well as a copy of a recent utility bill that matches your address. This verification step is required for fraud prevention purposes. It is our policy to keep your personal information safe and private.

Orders above $300 may be required to be paid via a wire transfer. Our bank details will be provided upon request.

By ticking the checkbox, you confirm that you are not involved in or sell products that are impermissible or forbidden by law. You do not sell any counterfeit products, drugs, prescription medications, vaping products, narcotics, steroids, drug paraphernalia, controlled substances, or other products that present a risk to consumer safety. If ever you are found in violation of the terms by selling such products, you understand that Wholesale2B will terminate your account permanently without offering a refund and cause.

9a. Refunds of wallet balances

Account wallet deposits may be subject to a 6 month retaining period in the equal amount of payments received with a credit card. Any deposit not eligible for an immediate refund within the first 6 months can be used for the purpose of fulfilling orders.

9b. Cancellation of processed orders might incur a charge if they are already processed with the supplier. Cancellation are never guaranteed once processed with a supplier. Refunds to your customers should never be done until you first get a cancellation confirmation from Wholesale2B.

10. Cancellation Policy

When you signup for a free account with Wholesale2B.com there is no charge. Your free account will allow you to browse products only. You will need to activate a plan if you wish to start selling the products. Each plan are charged separately and are payable upon activation.

If you cancel a plan it will remain active until the end of the current monthly billing period. There are no mid-period refunds on the monthly plans.

If you cancel a pre-paid yearly plan, you will receive a pro-rated refund as if you were on the monthly plan since yearly plans are discounted as long as they are kept for the full yearly term. Any setup fee will be deducted from the refund as well as the monthly fee as advertised on Wholesale2B.com.

11. Chargebacks

Any chargeback filed against membership payments or payments of orders will be escalated to collection agencies and reported to the credit bureau. We do not tolerate chargebacks under any circumstances. Additional fees up to $100 per chargeback will be applied to cover fees with collection agencies.

12. Members located outside the USA.

We require proof of identity for foreign active members or for USA citizens located outside the USA. Proof of identity can be completed by scanning your passport or USA driver license and emailing it to us at support@wholesale2b.com. This will be required only once, unless you change your profile information. Failure to complete the verification step may result in a cancellation of your account.

All payments from members located outside the USA will be subject to manually payments and may also be subject to wire transfers.

13. Product Images & descriptions

You have our permission to use the product images and descriptions provided on our website as long as you have an active dropship plan. If you decide to cancel your plan, you are obligated to remove any product description or images from your website and/or from eBay, Amazon and any other online portal.

With our data feed plan, you will be able to download product images and descriptions in bulk using our ZIP files, however we are not an image hosting service so you are required to host the images on your own server should you decide to use our images on your own website. We can only provide image hosting with our website plan, in which case we will create the website for you and we will host the images for you as well. If you are hosting your own website, then you cannot hard code our image URLS in to your website since we cannot be responsible for the bandwidth fees incurred by a site that you are hosting on your own. If you are hosting your own website, then you may use our image ZIP files co copy images to your own server, or you may use the image URLS as provided in our standard CSV files to download images one time to your own server so you may host images to server your own website.

14. Bulk Orders

We offer a service to input orders for you in our system to help speed the process. This service requires a minimum order volume of 30 orders per day. Payments for processing your orders will be taken from your account credit so you will need to add credit to your account with a wire transfer. A processing fee of $2 will be charged per order for this service.

15. Our Guarantee on lowest wholesale prices

Wholesale2B guarantees that the wholesale prices in our system are the lowest prices available for drop shipping by legitimate drop ship suppliers. We can offer this guarantee since we provide the names of our suppliers and we do not increase their wholesale prices. This guarantee does not cover prices from items listed on Amazon, eBay or any third party marketplace websites. Our guarantee is applied to prices provided by legitimate and registered dropship suppliers only.

16. Assumption of Risk: Marketplace, Platform, and Third-Party Sales Channels

16.1 Nature of Service. Customer acknowledges that Wholesale2B provides software, product data, and order-routing tools only. Wholesale2B is not a marketplace operator, a shipping carrier, a fulfillment warehouse, or an inventory guarantor, and does not control the policies, algorithms, enforcement actions, or business decisions of any third-party marketplace, platform, payment processor, or storefront (including but not limited to Amazon, eBay, Walmart Marketplace, Etsy, Shopify, TikTok Shop, or any other current or future sales channel, collectively "Sales Channels").

16.2 Assumption of Risk. Customer expressly assumes all risk associated with listing, selling, or reselling products sourced through Wholesale2B on any Sales Channel. This includes, without limitation, risk of:

(a) account suspension, restriction, delisting, or permanent termination by a Sales Channel;
(b) negative performance metrics, buyer complaints, or policy-violation findings assessed by a Sales Channel;
(c) delayed, inaccurate, or out-of-stock inventory as reported by a supplier;
(d) delayed, lost, damaged, or non-conforming shipments;
(e) intellectual property or trademark disputes arising from product listings, images, or descriptions; and
(f) changes to a Sales Channel's terms of service, fee structure, or eligibility requirements.

16.3 No Guarantee. Wholesale2B makes no representation, warranty, or guarantee, express or implied, regarding shipment or delivery timeframes, inventory availability or accuracy, product quality, safety, or conformity, or the continued availability of any supplier, product, or Sales Channel. Any inventory counts, shipping estimates, or product data displayed through Wholesale2B are provided "as-is," sourced directly from third-party suppliers, and are subject to change without notice.

16.4 Customer Responsibility. Customer is solely responsible for:

(a) monitoring the health and standing of Customer's own Sales Channel accounts;
(b) complying with each Sales Channel's terms of service, policies, and applicable law;
(c) responding to and resolving buyer inquiries, disputes, and complaints; and
(d) any financial, reputational, or operational consequences resulting from (a) through (c).

17. Indemnification: Supplier Products, Fulfillment, and Returns

17.1 Role of Wholesale2B. Customer acknowledges that Wholesale2B acts solely as an aggregator and intermediary connecting Customer with independent, third-party suppliers and manufacturers ("Suppliers"). Wholesale2B does not manufacture, inspect, warehouse, package, ship, or fulfill any product, and does not take title to or possession of any product at any point in the transaction.

17.2 Supplier Responsibility. All matters relating to product manufacture, quality, packaging, shipment, delivery, tracking, damage, loss, returns, exchanges, and refunds are the sole responsibility of the applicable Supplier, governed by that Supplier's own policies, which Wholesale2B does not control and cannot override.

17.3 Indemnification by Customer. Customer agrees to indemnify, defend, and hold harmless Wholesale2B, and its officers, directors, employees, contractors, and affiliates (collectively, the "Wholesale2B Parties"), from and against any and all claims, demands, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable attorney fees) arising out of or in any way related to:

(a) any defect, non-conformity, misrepresentation, or safety issue in a product;
(b) any error, delay, damage, or failure in shipment, delivery, or fulfillment by a Supplier;
(c) any dispute over returns, refunds, exchanges, or chargebacks between Customer, Customer's end customers, and a Supplier;
(d) any inaccuracy or discrepancy in inventory, pricing, or product data provided by a Supplier;
(e) Customer's use, resale, or marketing of any product, including on any Sales Channel; and
(f) any claim brought by a third party (including an end customer or a Sales Channel) arising from Customer's sale of Supplier products.

17.4 Wholesale2B's Limited Role. Wholesale2B holds no ownership, custodial, or operational position in the shipment, delivery, or return of any product. Customer's sole recourse for issues described in this Section lies with the applicable Supplier, subject to that Supplier's own terms and policies, and Wholesale2B's role, where offered, is limited to facilitating communication between Customer and Supplier.

17.5 Survival. This Section shall survive termination or cancellation of Customer's account or this Agreement.
